David Egdal is an associate in the San Francisco office of Gibson, Dunn & Crutcher and a member of the firm's Real Estate Department. 

Mr. Egdal has significant experience representing lenders in loan workouts, debt restructurings, deeds-in-lieu of foreclosure and dispositions of personal property collateral under Article 9 of the Uniform Commercial Code.  Mr. Egdal's practice experience also includes extensive representation of a wide range of cleints, including institutional and non-institutional lenders, borrowers and investors in all areas of real estate, including, the formation and negotiation of joint ventures, acquisitions and dispositions of commercial, hotel and multi-family residential properties, and mortgage, mezzanine and participating financing. 

Mr. Egdal has been involved in a number of recent high-profile projects, including:

  • Representation of various institutional lenders in the exercise of remedies related to UCC collateral, resulting in completed UCC public sales and retentions of collateral in satisfaction of limited liability company and limited partnership interests indirectly controlling various multi-family and condominium projects in Texas, Florida and California.
  • Representation of various institutional lenders and investment funds regarding strategic use of UCC remedies in connection with restructuring mortgage and mezzanine financing, and acquisition of distressed real property assets.
  • Representation of an institutional lender in negotiating multiple forbearance agreements and deeds-in-lieu of foreclosure related to $500 million mortgage portfolio secured by 51 apartment buildings located in Northern California. 
  • Representation of institutional lender, as junior participant, in protecting its subordinate position during senior participant's exercise of foreclosure remedy in connection with a $41 million participating mortgage loan secured by a development project in Hawaii.
  • Representation of various institutional lenders in the administration and disposition of REO portfolios consisting of apartment building portfolios located in California, Texas, Georgia and North Carolina

Mr. Egdal earned his law degree from the UCLA School of Law.  He received his undergraduate education at UCLA, graduating with a bachelor of arts degree in English literature.   Prior to attending law school, he served as a paramedic in the San Francisco Fire Department. 

Mr. Egdal is active in pro bono matters and serves on the Board of Directors of the West Los Angeles Police Activities League.  He is admitted to practice in the State of California.
