Gerard J. Kenny, a partner in Gibson, Dunn & Crutcher's Orange County office, is a member of the firm's Corporate Transactional Practice Group. Mr. Kenny has extensive experience in corporate, partnership and LLC transactional matters, including mergers, acquisitions, divestitures, spin-offs and joint ventures involving both domestic and international companies. The mergers, acquisitions, divestitures and other transactions with which Mr. Kenny has been involved arise in a wide variety of business sectors. Of special note is Mr. Kenny's extensive experience with transactions in the financial asset management industry, including transactions involving some of the largest publicly-traded asset management companies in the United States. Mr. Kenny has also worked on (i) transactions involving the purchase and disposition of interests in professional sports teams, and (ii) the structuring and formation of private equity funds, including funds with an investment focus in the financial asset management industry. In addition to his corporate transactional practice, Mr. Kenny also is a member of the firm's Corporate Tax Practice Group, with broad experience in corporate and partnership tax matters. Graduating with a bachelor of arts degree from Brooklyn College in 1966, Mr. Kenny received his law degree from the University of Southern California in 1973. Prior to joining Gibson, Dunn & Crutcher, Mr. Kenny served as a law clerk for Chief Justice Donald Wright of the California Supreme Court. Mr. Kenny has been admitted to practice before the Federal District Court, the Ninth Circuit Court of Appeals, the U.S. Tax Court, and all California courts. Mr. Kenny’s professional sports transactions include primary responsibility for the following: - Representation of the Steinberg & Moorad professional sports agency in its sale to Assante Corporation in 1999.
- Representation of Buyer of a substantial minority interest in (with broad management control rights over) the Arizona Diamondbacks Professional Baseball Team (closed 2005).
- Representation of substantial minority owner in sale of its interest in Arizona Diamondbacks (partially closed December 2010, final closing March 2011).
- Representation of Buyer in acquisition of San Diego Padres Professional Baseball Team (closing March 2009).
- Representation of Padres ownership group in acquisition of Portland Beavers Triple A Minor League Baseball Team (closed December 2010).
- Representation of Buyer of Portland Beavers in relocation of team to another city and leasing of baseball stadium for use by Beavers through 2012 playing season.
- Representation of Buyer of Portland Beavers in connection with construction of new state-of-the-art minor league baseball stadium in Escondido, California, and lease of stadium by Beavers commencing in 2013 season.
- Representation of prospective buyers of Texas Rangers and Houston Astros Professional Baseball Teams (2009 – neither bid was successful).
- Representation of Padres in connection with amendment of existing loans secured by Petco Park baseball stadium (closing in 2011).
- Representation of Padres owners in connection with new financing (projected closing 2011).
- Representation of Buyer in connection with the purchase of a NASCAR racing team (closed August 2007) and the related renegotiation of sponsorship and driver agreements.
Set forth below is a list of the asset management M&A transactions for which Mr. Kenny has had primary responsibility: - Representing Pacific Life Insurance Company and PIMCO (Pacific Investment Management Company) in their acquisition in 1994 of publicly traded Thompson Advisory Group. Upon this acquisition, PIMCO consolidated with TAG and the publicly traded (NYSE) consolidated entity changed its name to PIMCO.
- Representation of Montgomery Securities in its sale of Montgomery Asset Management to CommerzBank in 1997.
- Representation of Pacific Life in connection with PIMCO's acquisition of Oppenheimer in 1997.
- Representation of Putnam Lovell in its acquisition of a controlling interest in Van Deventer & Hoch in 1997-1998.
- Representation of Endeavor Management ownership in the sale of 100% of its interests to AEGON Insurance in 1999.
- Representation of Seneca Capital Management Company LLC in the sale of interests to Phoenix Life and the reorganization of its equity incentive plans.
- Representation of Pacific Life in the sale of a controlling interest of PIMCO to Allianz in 2000.
- Representation of Janus Capital Corporation (manager of the Janus funds) in various sales of interests and equity restructurings (1999-2001) and its conversion from a corporate to an LLC operating business format in 2002.
- Representation of Kayne Anderson Rudnick Management Company LLC in the sale of a controlling interest to Phoenix Life in 2002.
- Representation of Pacific Life in connection with the formation of Montauk Triguard Partners III LP, a "fund of funds" investment vehicle formed in 2005.
- Representation of Transamerica Investment Management in its acquisition of Westcap Investors and the reorganization and recapitalization of Transamerica in 2005.
- Representation of Buchanan Street Advisors, L.P. in its sale to The TCW Group, Inc. in 2007.
- Representation of Buchanan Street Advisors, L.P. in its acquisition of the assets of the Maier Siebel Baber division of Bank of America, N.A. in 2008.
- Representation of AEGON USA in a reorganization and recapitalization of its Transamerica Investment Management subsidiary in 2008-2009.
