Steve Finley is a partner in the New York office of Gibson, Dunn & Crutcher.  He is a co-chair of the Capital Markets Practice Group.  He represents major investment banking firms as underwriters of domestic and international securities offerings, as placement agents in private offerings of securities and as financial advisors in merger and acquisition transactions.  He also represents foreign and domestic corporations in public and private securities offerings, liability management programs and mergers and acquisitions.  He has participated in over 500 public offerings, including the $5.5 billion initial public offering of United Parcel Service, representing investment banking firms and issuers.  Mr. Finley has been nominated to the International Financial Law Review 2008 as a Leading Lawyer in US Capital Markets - Debt and Equity.

Mr. Finley graduated with a Bachelor of Arts degree cum laude from Yale University in 1968.  He received his Juris Doctor degree in 1973 from Harvard Law School.

  • Tyco International:  Tender and consent offers for $8.5 billion on public debt and spin-off of Covidien and Tyco Electronics and $4.2 billion exchange offer.
  • Capital One: $1.5 billion of subordinated notes, $1 billion of senior notes, $1.554 billion of common stock, $686 million of common stock.
  • J.P. Morgan Securities:  $2.0 billion senior notes offering for United Parcel Service.
  • Pfizer Investment Capital: $1.0 billion senior floating rate notes.
  • Merrill Lynch: $232.6 million notes offering for United Parcel Service.
  • Tyco International: $1.0 billion of senior notes, $4.5 billion convertible debt offering.
  • Goldman Sachs: $4.0 billion equity offering for United Parcel Service.
  • Covidien: $2.75 billion of senior notes.
  • Pitney Bowes: $500 million, $400 million, $100 million and $350 million global notes offerings.
