Role Overview

Join our team in Riyadh as a Corporate Mergers and Acquisitions Associate, where you’ll play a pivotal role in complex, high-profile and cutting edge transactions which are helping to shape the Saudi economy.

In this role, you will conduct thorough legal due diligence and analysis for potential M&A transactions. You will draft, review, and negotiate transaction documents, such as share sale and purchase agreements and shareholders’ agreements. Additionally, you will assist in structuring and negotiating deal terms to align with client objectives and regulatory requirements. Coordination with internal and external stakeholders, including financial advisors and regulatory bodies, will be essential to ensure smooth transaction execution. You will also monitor legal and regulatory developments that may impact M&A activities, support senior team members in client meetings and presentations, and maintain up-to-date knowledge of relevant legal, regulatory, and industry trends. You will be expected to take ownership and leadership on your transactions with direct client contact and engagement and matter management.

To be successful in this role, you should have Saudi national status and hold a:

  • LLB from a Saudi university, an LLM from a recognized academic institution in the US or UK and an admission to practice in Saudi in accordance with Saudi Bar Association requirements, an admission to practice in England & Wales in accordance with SRA rules or admission to practice in a US State in accordance with applicable State bar rules.
  • Juris Doctor (JD) degree from the US and an admission to practice in either a US State in accordance with applicable State bar rules or an admission to practice in Saudi in accordance with Saudi Bar Association requirements;
  • LLB from the UK, and an admission to practice in England & Wales in accordance with SRA rules or an admission to practice in Saudi in accordance with Saudi Bar Association requirements or an admission to practice in either a US State in accordance with applicable State bar rules.
  • Qualification through other jurisdictions will be considered.

You should have 3-5 years of experience in corporate M&A, within a top-tier international law firm. Strong legal drafting and negotiation skills, excellent analytical and problem-solving abilities, and outstanding communication and interpersonal skills are essential. You should be proactive and detail-oriented, capable of managing multiple projects simultaneously. Fluency in English is required, and proficiency in Arabic is a plus. A strong understanding of the Saudi Arabian legal and regulatory environment is advantageous.
